BillerudKorsnäs acquires ecoXpac A/S and enters into joint venture with ALPLA

Case info

Accura has assisted the listed company BillerudKorsnäs in acquiring the Danish company ecoXpac A/S who, since 2010, has developed and in collaboration with e.g. the Carlsberg Group produced bottles made of paper fibres. In addition, a conditional agreement on the sale of shares to and a joint venture agreement were concluded with the German company ALPLA.

The vision is to improve ecoXpac A/S's innovative products and to develop, among other things, a fully biobased and recyclable paper bottle.

BillerudKorsnäs is a world-leading provider of sustainable packaging materials. The company has a revenue of SEK 22bn and 8 production units in Sweden, Finland and Great Britain and employs about 4,400 people in over 13 countries. ALPLA is a world leader within the development and production of plastic packaging and employs more than 20,000 people in production facilities across 46 countries, in which custom-made packaging systems, bottles and closures are produced.

Parts of the transaction are subject to the usual regulatory approvals, and it is expected that the transaction will be completed in Q3 2019. After this, it is expected that BillerudKorsnäs and ALPLA will divide the ownership of ecoXpac A/S evenly.

Henrik Juul Hansen, Morten Bruus, Christoffer Ege Andersen, Esben Cordes and Nicolai Münster Nielsen advised BillerudKorsnäs.
